License Conditions

Every Eritrea Gaming license is issued subject to conditions that remain binding throughout the license term.

License conditions establish the activities the licensee may conduct and the operational, reporting, technical and compliance obligations it must maintain.

Conditions may be standard, applying generally to a license category, or specific to an individual licensee.

Standard License Conditions

Standard license conditions may require every licensee to:

Conduct only activities authorised by the license
Operate only through approved domains
Maintain accurate ownership information
Keep all required key person approvals current
Comply with applicable laws and regulatory standards
Maintain effective AML/CTF controls
Maintain responsible gaming and player protection measures
Protect confidential and personal information
Submit regulatory reports within the required period
Notify the Authority of material changes
Provide records and information upon request
Cooperate with reviews and investigations
Display licensing information accurately
Use the official license seal only as authorised
Maintain sufficient financial and operational capacity
Pay all applicable regulatory fees

The Authority may impose conditions tailored to a particular licensee or business model.

Approved markets
Restricted jurisdictions
Payment methods
Cryptocurrency transactions
Player fund safeguards
Financial reserves

Specific conditions may be imposed when the license is issued or later as part of ongoing supervision or enforcement.

01 — Approved Legal Entity

Approved Legal Entity

The license may be used only by the legal entity named on the license certificate and public register record.

A parent company, subsidiary, affiliate, white label operator or related business must not claim to be licensed unless it is separately named or expressly approved under the license.

02 — Approved Activities

Approved Activities

The licensee may conduct only the gaming or supplier activities approved by the Authority.

The introduction of a materially different product, service or gaming vertical may require prior notification or approval.

The licensee must not assume that a new product is covered merely because it is delivered through an existing approved platform.

03 — Domain Management

Domain Management

Licensed B2C operators may provide gaming services only through domains approved and recorded by the Authority.

The licensee must obtain approval before:

Adding a new operational domain
Replacing an existing domain
Moving a licensed brand to another domain
Using a materially different trading name
Allowing another business to operate through an approved domain
Displaying the license seal on an additional website

Each approved additional domain is subject to a fee of €300.

Domains no longer used for licensed activity should be reported for removal from the public register.

04 — Ownership and Control

Ownership and Control

The ownership and control structure approved during licensing must be maintained unless the Authority approves a change.

Prior approval may be required for:

Transfer of shares
Admission of a new beneficial owner
Change in voting control
Merger or acquisition
Transfer of the licensed business
Creation of nominee or trust arrangements
Material restructuring of the corporate group

An unauthorised change of control may result in suspension or revocation.

Key Persons

Individuals performing designated regulatory roles must remain suitable and properly authorised.

Key roles may include:

Directors
Senior executives
Compliance officer
AML/CTF reporting officer
Finance officer
Head of gaming operations
Head of information security
Other positions designated by the Authority

The appointment or departure of a key person must be reported within the period prescribed by the license conditions.

Material Changes

Licensees must notify the Authority of events that may affect their license or regulatory suitability.

Reportable events may include:

Changes in ownership or control
Changes to key management
New operational domains
New gaming verticals
Changes to critical suppliers
Material technical changes
Serious cybersecurity incidents
Financial distress or insolvency
Material failure to meet player liabilities
Criminal, civil or regulatory proceedings
Action taken by another regulator
Significant AML/CTF or responsible gaming failures

Reporting

Regulatory Reporting

Licensees must submit complete and accurate regulatory reports in the form and frequency prescribed by the Authority.

Applies to another company
Covers an unapproved website
Constitutes approval in another jurisdiction
Guarantees the operator’s solvency or commercial performance
Provides government endorsement of its products
